Terms & Conditions
Meridian (“we”, “us”, “our”) provides an online automation software‑as‑a‑service platform (“Service”). These Terms of Service (“Terms”) govern your access to and use of Meridian, including our website, web application and any related tools or services. By creating an account, accessing, or using Meridian, you agree to be bound by these Terms.
Use of the Service
You must be at least the age of majority in your jurisdiction and capable of entering into a binding agreement to use Meridian. You are responsible for all activity that occurs under your account and for keeping your login credentials secure. You agree to use the Service only for lawful purposes and in accordance with these Terms and any applicable policies we publish. We may update or modify the Service from time to time, including adding, changing, or removing features.
Accounts and Subscriptions
To use Meridian, you may need to create an account and select a subscription plan. You agree to provide accurate and up‑to‑date information during registration and to update it as needed. Subscription plans, pricing, limits, and billing cycles are described at the time of signup and may be updated by us from time to time. If we change pricing or plan features, we will aim to give you reasonable notice, and changes will usually apply from the start of your next billing period.
Payments and Billing
If your use of Meridian requires payment, you agree to pay all applicable fees for your chosen plan. Payments are processed through third‑party payment providers, and you authorize us and our providers to charge the payment method you supply for recurring subscription fees and any applicable taxes. If a payment cannot be processed, we may suspend or downgrade your access to the Service until payment is successfully completed. Fees are generally non‑refundable unless required by law or explicitly stated otherwise.
Acceptable Use
You agree not to misuse Meridian or use it in any way that could harm us, other users, or third parties. This includes, for example, attempting to gain unauthorized access, interfering with normal operation, uploading malicious code, using the Service to send spam or unlawful communications, or violating applicable laws or regulations. We may investigate and take appropriate action if we suspect a breach of these Terms, which may include suspending or terminating your account.
Intellectual Property
Meridian, including its software, design, content, trademarks, and logo, is owned by us or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable license to access and use the Service for your internal business purposes. You do not acquire any ownership rights in Meridian by using the Service. You agree not to copy, modify, reverse engineer, or create derivative works based on Meridian, except as expressly allowed by law or by us in writing.
Your Content
You may submit or upload data, text, configurations, and other materials (“Content”) to Meridian as part of your automation workflows or account usage. You retain ownership of your Content, and you grant us a limited, non‑exclusive license to use, store, and process it only as necessary to operate and improve the Service and to comply with legal obligations. You are responsible for ensuring that your Content and your use of the Service comply with applicable laws and do not infringe the rights of others.
Service Availability and Changes
We aim to keep Meridian available and running smoothly, but we do not guarantee that the Service will be uninterrupted or error‑free. We may temporarily suspend or limit access to the Service for maintenance, security updates, or other operational reasons. We may also change or discontinue parts of the Service, features, or plans. Where reasonably possible, we will provide notice of major changes that might materially affect your use of Meridian.
Termination
You may stop using Meridian at any time and can cancel your subscription through your account or by contacting us. We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay required fees, or use Meridian in a way that creates risk or liability for us or others. Upon termination, your right to access and use the Service ends, but certain provisions of these Terms, such as those relating to payments owed, intellectual property, and limitations of liability, will continue to apply.
Disclaimers
Meridian is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not guarantee that the Service will meet your requirements, be available at all times, or be free from errors or security vulnerabilities. You are responsible for evaluating whether Meridian is suitable for your particular use case and for maintaining appropriate backups and safeguards.
Limitation of Liability
To the maximum extent permitted by law, Meridian and its owners, employees, and partners will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or business opportunities arising from or related to your use of the Service. Our total liability for any claim relating to the Service or these Terms will be limited to the amount you have paid for the Service during the twelve (12) months before the event giving rise to the claim, or a lower amount if required by law.
Governing Law
These Terms and any dispute or claim arising out of or in connection with them or the Service will be governed by the laws of [your main jurisdiction], without regard to its conflict‑of‑law principles. The courts of [your main jurisdiction] will have exclusive jurisdiction over any disputes, unless mandatory local law provides otherwise.
Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service, our practices, or applicable laws. When we make important changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you by email or within the Service. Your continued use of Meridian after the revised Terms become effective means that you accept the updated Terms.
